1. Acceptance of Terms

By accessing or using TrySolar.pro ("the Service"), operated by Vertikal TD Limited, a company registered in Hong Kong, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service. These Terms apply to all visitors, users, and others who access or use the Service, including homeowners, solar professionals, and installer businesses.

2. Description of Services

TrySolar.pro provides the following services:

• Solar Simulation Calculator: An interactive tool that estimates solar energy production, potential savings, and system sizing based on user-provided inputs such as location, electricity bill, and roof characteristics.
• Installer Directory: A searchable directory of solar installation companies, organized by region, with contact information, reviews, and service area details.
• Pro Accounts: Professional-tier accounts for solar salespeople and installation companies, offering features such as saved configurations, branded simulations, lead management, and listing placements.
• Lead Routing: A system that connects homeowner inquiries with relevant local solar installers based on geographic proximity.

3. Account Registration and Responsibilities

To access certain features, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activity that occurs under your account.
• Notifying us immediately of any unauthorized use of your account.
• Ensuring that all information you provide is truthful, accurate, and current.

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in conduct that is harmful to other users or the Service.

The installer directory is provided as a convenience to help homeowners find solar installation companies. Inclusion in the directory does not constitute an endorsement, recommendation, or guarantee of any installer's quality, reliability, workmanship, licensing, or financial stability.

• Listing information is provided by the installers themselves. We do not independently verify every claim made in a listing.
• We encourage users to verify installer licenses, insurance, references, and reviews independently before entering into any agreement.
• TrySolar.pro is not a party to any contract between homeowners and installers and bears no liability for the outcome of such arrangements.
• User-submitted reviews reflect individual experiences and are not verified for accuracy.

6. Payment Terms

Listing Plans and Subscriptions

Installer listing plans and Pro account subscriptions are offered at various tiers with features and pricing as described on the Service at the time of purchase. Prices are subject to change with reasonable notice.

Billing

Payments are processed through Authorize.net. By providing payment information, you authorize us to charge the applicable fees on a recurring basis according to your selected plan. Subscriptions auto-renew unless cancelled before the end of the current billing period.

Refund Policy

Listing fees are non-refundable once the listing has been published and is live on the directory. If you cancel a subscription, you will retain access to paid features until the end of your current billing period. We do not provide pro-rated refunds for mid-cycle cancellations. In cases of billing errors or service failure attributable to us, refunds will be issued at our discretion.

7. Intellectual Property

All content, features, and functionality of TrySolar.pro -- including but not limited to the simulation engine, algorithms, design, text, graphics, logos, and software -- are the exclusive property of Vertikal TD Limited or its licensors and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service or its content without our prior written consent.

8. User Content

By submitting content to TrySolar.pro -- including reviews, comments, simulation data, and lead form submissions -- you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with operating and improving the Service. You represent and warrant that:

• You own or have the necessary rights to the content you submit.
• Your content does not infringe on any third party's intellectual property or privacy rights.
• Your content is not false, misleading, defamatory, or otherwise unlawful.

We reserve the right to remove any user content that violates these Terms or that we deem inappropriate, without prior notice.

9. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Submit false or misleading information in listings, reviews, or lead forms.
• Attempt to gain unauthorized access to other accounts, systems, or networks connected to the Service.
• Use automated tools (bots, scrapers, crawlers) to access, extract, or index the Service without our written permission.
• Interfere with or disrupt the Service or its underlying infrastructure.
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERTIKAL TD LIMITED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service.
• Any conduct or content of any third party on the Service, including installer listings and user reviews.
• Any solar installation, equipment purchase, or financial decision made in reliance on information provided by the Service.
• Unauthorized access, use, or alteration of your data or transmissions.

Our total aggregate liability for all claims arising out of or relating to the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or one hundred US dollars (US$100), whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Vertikal TD Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, your content or submissions, or your violation of any rights of a third party.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of Hong Kong for the resolution of any disputes arising out of or relating to these Terms or the Service.

13. Dispute Resolution

Before filing any formal legal claim, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days. If the dispute cannot be resolved informally, either party may pursue resolution through the courts of Hong Kong as set forth in Section 12. Both parties agree to participate in good faith in any mediation or settlement discussions.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Service will immediately cease.
• We may delete your account data in accordance with our Privacy Policy.
• Any outstanding payment obligations remain due.
• Sections of these Terms that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) shall survive.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, provide notice through the Service or via email. Your continued use of the Service after such changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
